2. Service Description

ArcAlpha is a web-based SaaS that provides automated trading software and a dashboard in which multiple autonomous AI agents analyze market data and make trading decisions. Users configure and monitor agents per workspace; paid plans unlock more agents, live-trading connectivity, real-time dashboards and alerts, and advanced risk controls.

The Free plan provides a single paper-trading (simulated) agent and core features. The exact entitlements of each plan match the Pricing page and the Subscription Terms.

3. Accounts & Security

You are responsible for providing accurate registration details and for keeping your login credentials and authentication methods secure. You are responsible for all activity under your account and must notify the Company promptly of any unauthorized use.

The Company may restrict or terminate access without prior notice in cases of fraud, automation abuse, security breaches, or violation of these Terms.

4. Payments & Merchant of Record

Web orders and payments for paid plans are processed by Paddle.com. Paddle.com is the Merchant of Record for all our web orders and handles payment processing, taxes, receipts, payment-related customer support, refunds, and chargebacks.

Sensitive payment-instrument data such as card numbers and CVC is never stored by the Company; it is processed and held by Paddle or its payment processors. The Company only receives order outcome data such as payment status, plan, and order/receipt identifiers.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

If in-app purchases (App Store / Play Store) are ever offered, web (Paddle) and in-app billing will be disclosed separately. [TODO: Confirm whether in-app billing applies]

5. Subscriptions & Auto-Renewal

Subscriptions are offered on a monthly or annual basis and may renew automatically for the same period until you cancel.

If you cancel, you keep access until the end of your current billing period and are not charged for the next cycle. Where a free trial is offered, you may be charged if you do not cancel before the trial ends.

If prices change, the Company will give reasonable advance notice, and the new price applies to renewals occurring after that notice.

6. Refunds

Refunds are handled by Paddle.com as the Merchant of Record. You may request a refund via the Company email or Paddle Buyer Support. Refunds may be limited in cases of fraud, refund abuse, violation of these Terms, excessive usage, or fully delivered custom/one-time digital deliverables.

Detailed conditions are set out in the Refund & Cancellation Policy. Where mandatory consumer protection laws provide additional refund or withdrawal rights, those rights prevail.

7. Prohibited Conduct

You agree not to:

• use the service unlawfully or in violation of applicable laws
• infringe the rights of others (intellectual property, privacy, etc.)
• reverse engineer, decompile, or make unauthorized copies of the service
• place excessive or automated abnormal load on the service
• probe or exploit security vulnerabilities or bypass access controls
• create or distribute spam, phishing, fraud, malware, or illegal content
• use the service in any way that would violate Paddle’s Acceptable Use Policy

8. Intellectual Property

All rights in the service, logos, UI, source code, documentation, and Company-provided content belong to the Company or its licensors. You retain rights to the data you input, and the Company processes it only as needed to provide and operate the service.

AI-generated outputs are not guaranteed to be accurate; you are responsible for verifying and using them appropriately and for ensuring they do not infringe third-party rights.

9. Changes & Discontinuation

The Company may modify or discontinue all or part of the service for improvements, plan changes, maintenance, or incident response, and will give reasonable advance notice of material changes.

10. Disclaimers & Limitation of Liability

The service is provided “as is”, and the Company does not warrant that it will be uninterrupted or error-free. ArcAlpha’s analysis, signals, and automated trading outputs are for informational purposes only, are not investment advice, and do not guarantee any financial outcome.

The service is not a substitute for professional medical, legal, tax, or investment judgment. To the maximum extent permitted by law the Company’s liability is limited; nothing herein limits consumer rights granted by mandatory law.

11. Governing Law & Disputes

Interpretation of these Terms and the resolution of disputes are subject to applicable law.
